post-acquisition litigation

We have significant experience in representing companies in post-acquisition claims for indemnification and breach of representations and warranties.  In one notable case, Mr. Ahern was co-lead counsel for the defendant in Zeigler Coal v. BP America.  After trial, there was a judgment for BP pursuant to which BP did not pay any money.

de facto general counsel representation

We have significant experience representing U.S. and Asian companies in the role of a de facto outside General Counsel, representing clients in all of their matters.  This includes general corporate advice (working with corporate and M&A counsel), commercial advice (with respect to distribution and other commercial agreements), general intellectual property advice (working with IP counsel), and litigation representation and risk management advice.
